David has negotiated enterprise master services agreements and statements of work totaling more than $2 billion with global service providers, including IBM, Accenture, Deloitte, PwC, EY, EXL and Cognizant. He serves as lead counsel on mission-critical platform transactions, including the video encoding platform used to stream the Olympics, the NBA, the NFL, and the Premier League for a top five global streaming provider, and the claims-management, policy administration, and investment-management platforms relied upon by top ten U.S. property and casualty and life insurers. He regularly negotiates against the market’s most sophisticated data-platform vendors, including Snowflake, Databricks, New Relic, Datadog, and Elastic, as AI features enter their offerings.

Artificial intelligence is the center of David’s current practice. He negotiates enterprise AI platform agreements across AWS Bedrock, Microsoft Copilot, Anthropic, Google Gemini and Vertex AI, and Meta Llama, spanning closed- and open-weight models and bring-your-own-model deployments. He advises on the EU AI Act and U.S. state AI statutes, counsels enterprise security teams on AI risk, including confidentiality, training-data rights, infringement, and likeness and voice simulation, and has authored enterprise generative-AI guidance built on a three-tier framework keyed to output exposure. His experience includes counseling the engineering leadership of global enterprises on the development of internal agentic AI platforms with governed model access, role-based agent permissions, and human-in-the-loop controls. His counsel is grounded in working technical knowledge of large language models, agentic systems, and retrieval-augmented generation (RAG) architectures.

David also represents founders and owners of technology companies in sell-side M&A, including stock and asset sales to private-equity acquirers, and represents enterprise clients in breach-of-contract disputes involving technology licensing, software implementation and development, and value-added reseller arrangements, in litigation and arbitration. He counsels on open-source and patent infringement matters, including patent pooling and enforcement and monetization programs. He serves as outside general counsel to emerging and high-growth companies, advising on commercial contracts, intellectual property strategy, employment and equity compensation, and vendor management.

David is the founder and product owner of Ad Litem, a legal AI platform for law firms developed at Aeton, combining governed AI capabilities and firm-specific playbooks with tenant isolation, ethical walls, and a complete audit chain. He designed the platform’s product, security, and governance architecture and directs its development under a formal engineering regime: documented architecture decisions, threat modeling, adversarial code review, mutation-tested quality gates, and verbatim source provenance, with professional-responsibility controls designed into the platform’s core.

In addition to his practice, David co-founded and served as chief executive officer of Wearsafe Labs (2015–2022), an investor-backed IoT and SaaS personal-safety company that raised $25 million, grew to 65 employees across five countries, reached users in 120 countries, and was named a Gartner Cool Vendor and a Best of CES honoree. He served concurrently as the company’s sole general counsel, with responsibility for board governance, financings, global data privacy compliance, and manufacturing and supply chain agreements in China, Japan, and Hong Kong. Embedded daily in product and engineering, he steered the product from concept through deployment and served as its sole regulatory steward through data-collection regulation, hardware certification, and third-party platform requirements. He is an inventor on multiple U.S. and foreign patents.

Prior to co-founding Aeton in 2012, David served as senior counsel to The Hartford Financial Services Group and Hartford Investment Management Company, where he was the primary draftsperson of the enterprise’s technology procurement agreements, helped develop the company’s patent program, and negotiated market data, analytics, and trading-technology agreements with providers including Bloomberg, Thomson Reuters, S&P, Moody’s, FactSet, and MSCI Barra, and with major exchanges. He began his career as an associate in the IP and technology practice of Thelen LLP, where he was a drafter of a software licensing handbook for a Fortune 5 corporation.
